Brembo acquires Ohlins Racing: it's the largest acquisition in its history.

Brembo acquires Öhlins Racing AB, a historic operation for the Italian industry Brembo, a Bergamo-based company that has represented the excellence of “made in Italy” for decades, has completed the acquisition of Öhlins Racing, a Swedish giant specialized in the production of high-end suspensions for the automotive and motorcycle sectors.

Brembo, a group listed on Euronext Milan and active in the production of braking systems, has signed an agreement with Tenneco, a company in the portfolio of funds managed by Apollo Global Management, for the acquisition of 100% of the capital of Ohlins Racing, a leader in the production of premium, high-performance suspensions for motorcycles and cars in the original equipment, motorsport and aftermarket segments.

Founded in 1976, Ohlins Racing is headquartered in Upplands Vasby (Stockholm), Sweden, and has a strong international presence. Ohlins employs approximately 500 people at two production facilities in Sweden and Thailand, two R&D centers in Sweden and Thailand, and four sales and testing locations in the United States, Germany, Thailand and Sweden. Ohlins has a strong tradition and presence in major motorsport championships, as a renowned supplier in MotoGP, Formula 1, Superbike, NASCAR, among others. Ohlins is expected to close 2024 with revenues of approximately $144 million, with an expected adjusted EBITDA margin of 21% to 22%.

It is a globally recognized brand, with a solid business and an unmatched reputation, both on the track and on the road," said Matteo Tiraboschi, Executive Chairman of Brembo. "The entry of Ohlins into the Group is a great opportunity to expand our offering for the automotive market. With this acquisition, we are taking a further step forward in our strategy to provide intelligent and integrated solutions to customers, leveraging synergies between the main technologies for the vehicle corner."

This transaction is the largest acquisition in Brembo's history. The consideration for the transaction is $405 million (equivalent to approximately €370 million at today's exchange rate) on a cash-free or debt-free basis, and is subject to customary adjustment mechanisms for similar transactions. The transaction will be paid for using available liquidity. The acquisition is subject to approval by antitrust authorities, following which the transaction will close, expected in early 2025.

This acquisition adds to Brembo's recent major investments in the motorcycle and racing sectors. In 2021, the Group acquired SBS Friction in Denmark and J.Juan in Spain, completing its offering of braking systems solutions for two-wheelers. In February of this year, Brembo announced its entry into Thailand with a new production site dedicated to braking systems for motorcycle manufacturers. Brembo also controls Marchesini, the leading brand in the design, production and marketing of light alloy wheels for racing and road motorcycles. The two-wheel business is currently worth approximately 13% of Brembo's total revenues.
