The motorcycle clothing giant goes from the 630 million paid by Carlyle in 2022 to a symbolic sale to creditor funds.
Dainese is changing hands: according to Il Messaggero, the newspaper purchased it for the symbolic sum of one euro by London-based funds Arcmont Asset Management and HPS Investment Partners (the latter recently acquired by the giant BlackRock). This is far from a coincidence: the two buyers are not simply investors interested in the brand, but were already Dainese's main creditors.
Dainese—acquired by the Carlyle investment firm for €630 million just two years ago—found itself burdened by approximately €300 million in debt, with a debt-to-EBITDA ratio reaching 15 times the estimated EBITDA of around €20 million. Financial statements from recent years show three consecutive financial years with losses, culminating in a €120 million loss in 2024.
The objective of the transaction now is "to strengthen Dainese's capital structure and improve its financial flexibility, after the company faced some market difficulties.
This process will have no impact on ordinary operations, employees, suppliers, or customers," the company reassures.
